These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client” or “User”) and Blue Quills, LLC (“Company,” “we,” “our,” or us). These Terms govern your access to the RemoteRails website (remoterails.com), the purchase of virtual appliances, hardware provisions, and any associated architectural consulting services owned and operated by the Company.
Please read these Terms carefully before engaging our services. By purchasing an appliance or accepting a proposal, you agree to be bound by these Terms.
I. Scope of Services
RemoteRails provides hyper-converged application-layer deployment, virtual appliance packages, and infrastructure engineering. Our services integrate open-source software engines into specialized, secure operating environments.
II. Infrastructure Agnosticism & Upstream Providers
- Third-Party Infrastructure: Our software and deployment patterns are environment-agnostic, supporting public cloud tenancies, dedicated servers, or private bare-metal hardware.
- No Upstream Liability: Client acknowledges that RemoteRails does not own or control third-party infrastructure providers (e.g., Hetzner, OVH). We are not responsible for provider outages, network latency, hardware degradation, or arbitrary account termination by upstream data centers.
III. The Key Ceremony & Client Responsibility
- Transition of Ownership: Upon final installation, initialization, and configuration of the virtual appliance, RemoteRails will host a formal “Key Ceremony.” During this ceremony, exclusive administrative access—including SSH keys, root credentials, and LUKS/dm-crypt full-disk encryption keys—is transferred entirely to the Client.
- Exclusive Control: Following the Key Ceremony, RemoteRails rotates all initial setup keys and retains no persistent access to the server or data layers.
- Key Loss: The Client is solely responsible for maintaining the security, backups, and physical records of their master passwords, recovery passphrases, and SSH keys. RemoteRails cannot reset or recover lost LUKS full-disk encryption keys or zero-knowledge vaults. Loss of these keys results in permanent data loss, for which the Company bears zero liability.
IV. Software Maintenance and Updates
- Standard Deployments: Open-source components (e.g., Nextcloud, Matrix, Defguard, Traefik) require sequential updates, database schema migrations, and careful orchestration. Unless the Client has signed a separate Managed Maintenance Agreement, the Client assumes full responsibility for pulling container updates, applying image tags, and executing database migrations.
- Backups: The Client must independently ensure that robust backup pipelines (e.g., cloud snapshots, Restic/Borg S3 pipelines, or ZFS snapshot transfers) are operational and verified prior to making configuration or software updates.
V. Fees, Billing, and Refunds
- Pricing: All pricing tiers are disclosed in specific proposals or checkout pipelines and are charged in USD.
- Payment Processing: All payments are securely processed through Stripe.
- Fulfillment & Refunds: Due to the custom, consultative, and single-tenant nature of infrastructure provisioning, all setup fees, hardware deposits, and virtual appliance licenses are non-refundable once deployment initialization has commenced.
VI. Intellectual Property & Trademarks
- Open-Source Elements: RemoteRails integrates and configures open-source technologies, including but not limited to Nextcloud, Matrix, WireGuard, Defguard, Traefik, and VaultWarden. All trademarks, service marks, and logos associated with these open-source projects are the sole property of their respective owners and are utilized here entirely for descriptive, technical, and informational identification purposes. No affiliation, endorsement, or sponsorship is implied.
- Proprietary Automation and Limited Right to Use: Any proprietary deployment scripts, custom configuration wrappers, orchestration patterns, or software architectures designed explicitly by RemoteRails remain the sole and exclusive intellectual property of the Company. The Client is granted only a non-exclusive, non-transferable right to use a single copy of these proprietary assets (a “Copyrighted Article”) solely for internal operational execution on a single designated server instance for the lifespan of the service.
- This transaction constitutes the transfer of a Copyrighted Article and does not constitute a license of intellectual property. The Client is strictly prohibited from modifying, decompiling, reverse-engineering, replicating, redistributing, or publicly displaying the proprietary code, scripts, or wrappers. No copyright rights, trademark rights, or patent rights are transferred or licensed under these Terms.
VII. Limitation of Liability
To the maximum extent permitted by applicable law, Blue Quills, LLC and its developers shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages—including but not limited to loss of profits, data, goodwill, or operational uptime—resulting from:
- Your use or inability to use the sovereign appliance.
- Unauthorized access to or alteration of your communications, data streams, or infrastructure networks.
- Data breaches occurring due to compromised client-managed SSH keys, LUKS passphrases, or master vault credentials.
- Data loss caused by improper or unverified backup procedures handled by the client.
VIII. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in courts located in Denver, Colorado.
